A Clean European Structure
for Real US Assets
Valtora operates through a General Partner / Limited Liability Partnership structure based in Europe (Lithuania). Each asset project gets its own SPV, keeping risks legally separated. Investors never invest directly into US entities — they invest through the European vehicle.
This structure is designed to reduce direct US K-1 and PFIC complexity for European investors — subject to confirmation by the investor's own legal and tax advisors. No tax outcome is guaranteed. The structure avoids holding US property directly. Every level is documented with formal agreements.

EVERCREST OHIO LLC — registered May 2026 — fully owns the real estate, which serves as collateral for the investor loan. Section 8 rents are paid directly by the Housing Authority, creating government-backed cashflow.
European investors participate through Valtora LLP via a structured participation agreement. The intended structure aims to reduce U.S. tax complexity for European investors, subject to final legal and tax review.
